Terms & Conditions

Effective Date: September 16, 2026 · Taking Charge Inc.

These Terms and Conditions ("Terms") form a legally binding agreement between you and Taking Charge Incorporated, an Ohio corporation doing business as Check On Me™ ("Taking Charge," "Check On Me™," "we," "us," or "our"). These Terms govern your purchase of, access to, and use of the Check On Me™ mobile application, website, customer support, and related services collectively referred to as the "Service."

By purchasing a subscription, creating an account, selecting an acceptance box, or using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not purchase or use the Service.

Agreement to Terms

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service. The Service is intended for users located in the United States and Canada. We do not promise that the Service is appropriate, available, or legally permitted in any other location.

You must provide accurate information and keep your account, mobile number, device settings, and emergency contacts current.

By downloading, accessing, or subscribing to Check On Me™, you agree to receive SMS communications related to your account, including daily check-in reminders, missed check-in notifications, and emergency alerts. You also represent that you have obtained prior express consent from each emergency contact to receive SMS notifications on your behalf. Message and data rates may apply.

Check On Me™ is NOT a substitute for emergency services. In the event of an emergency, always call 911 in the United States or Canada, or contact the appropriate local emergency number immediately. Do not wait for a Check On Me™ alert or an emergency contact to respond.

1. Nature of the Service

Check On Me™ is a daily wellness check-in notification service. It is NOT:

  • An emergency response service

  • A 911 service

  • A medical provider

  • A healthcare service

  • A law enforcement dispatch system

We do not contact emergency services. The App should not be relied upon in situations requiring immediate emergency assistance. In the event of an emergency, call 911 (United States or Canada) directly.

2. No Guarantee of Performance

We do not guarantee SMS delivery, push notification delivery, continuous uptime, internet connectivity, cellular connectivity, or third-party platform reliability. Notification failures may occur due to:

  • Internet or Firebase outages

  • Project Broadcast outages

  • Carrier issues

  • Carriers are not liable for delayed or undelivered messages.

  • Apple/Google system failures

  • Device or emergency contact device shutdown

3. User Responsibilities

You agree to:

  • Provide accurate information

  • Maintain updated emergency contacts

  • Obtain permission from emergency contacts to receive SMS notifications

  • Maintain device connectivity

  • Enable notifications

  • Complete check-ins

  • Respond to follow-up notifications

  • Contact emergency services directly when immediate help is needed

  • Use SOS and other alert functions responsibly and only for their intended purpose

  • Protect your password and account from unauthorized use

  • Notify us promptly if you suspect unauthorized access to your account

Failure to meet these responsibilities may result in notification failure.

4. Subscription & Billing

Payments are processed via Stripe. Taxes may apply. The price and terms displayed by the billing platform at checkout may differ because of currency, taxes, promotions, or an approved price change.

Unless canceled, each subscription renews automatically for the same billing period at the price disclosed for the next renewal. For a monthly trial, billing begins when the seven-day trial ends unless you cancel before the trial expires. Trial eligibility may be limited by the billing platform.

We may change subscription prices by providing the notice and obtaining any consent required by applicable law and the billing platform. A price change will not take effect before the date stated in the notice.

Purchases Through Apple

Subscriptions purchased through the Apple App Store are billed and managed by Apple. You must cancel through your Apple account subscription settings. Apple's payment, cancellation, and refund rules apply.

Purchases Through Google

Subscriptions purchased through Google Play are billed and managed by Google. You must cancel through your Google Play subscription settings. Google's payment, cancellation, and refund rules apply.

Direct Purchases Through Stripe

Subscriptions purchased directly from Check On Me™ are processed by Stripe. To stop a direct subscription from renewing, email [email protected] with the mobile number associated with your account at least 72 hours before the renewal date.

Effect of Cancellation

Cancellation stops future renewal. Unless applicable law or the billing provider requires otherwise, you will retain access through the end of the current paid billing period. Deleting the App, deleting your Check On Me™ account, disabling notifications, or opting out of SMS messages does not automatically cancel an Apple- or Google-managed subscription.

Subscription payments are final and nonrefundable after billing, except where applicable law or the billing platform's rules require a refund. We do not provide prorated refunds for unused time. Annual subscription purchases are nonrefundable except where required by applicable law or the applicable app store's rules.

5. SMS Messaging Terms

By using Check On Me™, you agree to receive SMS messages related to your account and safety notifications.

Message Types

Messages may include daily wellness check prompts (e.g., "Cecelia, are you okay?"), missed check-in alerts, and emergency contact notifications via SMS.

When you activate the SOS feature and grant location permission, Check On Me™ may collect your device's precise location so the Service can include your location or a map link in an alert sent to your selected emergency contacts. We do not use precise location for advertising or marketing. We do not constantly monitor your location.

Location accuracy depends on your device, permission settings, GPS signal, cellular or internet connection, and third-party mapping services. If you deny or revoke location permission, an SOS alert may be sent without your location. You can manage location permission through your device settings.

Message Frequency & Rates

Message frequency varies depending on user activity, including missed check-ins and system-triggered alerts. Standard message and data rates may apply based on your mobile carrier.

Opt-Out and Help Instructions

You may reply STOP or UNSUBSCRIBE to stop SMS messages and HELP for assistance. Opting out of messages does not cancel your subscription. Disabling SMS messages, push notifications, cellular service, internet access, or device permissions may prevent the Service from operating as intended.

Note: Opting out does not cancel your subscription. To cancel, email [email protected].

Message Frequency & Rates

Message frequency varies depending on user activity, including missed check-ins and system-triggered alerts. Standard message and data rates may apply based on your mobile carrier.

6. No Refund Policy

All subscription payments are final. No refunds are provided after billing. You can cancel no later than 72 hours before your billing date by emailing [email protected].

7. Limitation of Liability

To the maximum extent permitted by law, Taking Charge Inc., its owners, developers, affiliates, employees, and contractors shall NOT be liable for:

  • Injury or death

  • Emotional distress

  • Missed notifications

  • Failure to escalate

  • Service interruption or outages

  • Inaccurate location or failure to escalate

  • A third party's failure to respond

  • Indirect or consequential damages

Total liability shall not exceed the amount paid by you in the previous 12 months.

8. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Taking Charge and its owners, officers, employees, contractors, developers, licensors, and affiliates from third-party claims, liabilities, damages, judgments, losses, and reasonable costs arising from your unlawful use of the Service, misuse of SOS or messaging functions, false or unauthorized information, violation of these Terms, or failure to obtain permission before providing an emergency contact's information.

This obligation does not apply to the extent a claim results from Taking Charge's own negligence, willful misconduct, or violation of law. We will provide reasonable notice of a covered claim and may control its defense and settlement. You agree to provide reasonable cooperation.

9. Governing Law

These Terms are governed by the laws of the State of Ohio and applicable United States federal law, without regard to conflict-of-law principles. Subject to any mandatory consumer rights or jurisdictional rules that apply to you, any legal action relating to these Terms or the Service must be brought in a state or federal court located in Montgomery County, Ohio, and you consent to that court's jurisdiction.

Before filing a legal action, you and Taking Charge agree to make a good-faith effort to resolve the dispute informally by providing written notice describing the issue and requested resolution. This paragraph does not prevent either party from seeking urgent injunctive relief or using small-claims court where eligible.

For Canadian users, applicable federal and provincial consumer-protection and privacy laws apply where those laws cannot be waived by contract. Nothing in these Terms limits non-waivable rights or remedies available under applicable Canadian law.

10. Disclaimers

To the fullest extent permitted by applicable law, the Service is provided "as is" and "as available." We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, reliability, availability, and uninterrupted operation.

We do not warrant that the Service will prevent injury, illness, death, loss, or harm; that an alert will be delivered; that an emergency contact will respond; or that location information will be accurate. You understand that the Service is one communication tool and should not be your only safety plan.

Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, these disclaimers apply only to the extent permitted by law, and your non-waivable consumer rights remain in effect.

11. Third Party Services

The Service relies on third parties, including Apple, Google, Firebase, Project Broadcast, Stripe, mobile carriers, mapping providers, and hosting or infrastructure providers. Their services may be governed by separate terms and privacy policies. We are not responsible for a third party's independent acts or services, but nothing in these Terms removes obligations that applicable law requires us to retain.

12. Apple App Store Provision

If downloaded via the Apple App Store, your use of the App must comply with the Apple App Store terms, including any usage rules that apply to your device and account.

  • Apple is not responsible for the App

  • Apple has no maintenance obligation

  • Apple is not liable for claims

  • Apple is a third-party beneficiary of these Terms

13. Google Play Provision

If downloaded via the Google Play Store, you acknowledge that these Terms are between you and Taking Charge, not Google. Your use of the App must comply with the Google Play terms that apply to your device, account, purchase, and subscription.

  • Google is not responsible for the App

  • Google has no maintenance obligation

  • Google is not liable for claims

  • Google is a third-party beneficiary of these Terms

14. Force Majeure

We are not liable for failure or delay due to causes beyond our control, including:

  • Natural disasters

  • Internet or carrier outages

  • Government actions

  • War or cyberattacks

  • Pandemics

  • Cyberattacks or third-party platform failures

  • Other events beyond our reasonable control

15. Termination

We may suspend or terminate accounts for violations of these Terms.

16. License and Ownership

Subject to these Terms, we grant you a limited, personal, nonexclusive, nontransferable, non-sublicensable, and revocable license to download and use the App on a device you own or control solely for your personal use.

Taking Charge and its licensors own the Service, software, design, text, graphics, trademarks, logos, and other content, except for information provided by users or third parties. These Terms do not transfer ownership of any intellectual property to you.

If you provide feedback or suggestions, you grant us permission to use them without restriction or compensation, provided we do not publicly identify you without permission.

17. Changes to Terms

We may update these Terms at any time. Continued use of the App constitutes acceptance of the revised Terms.
